Referral Partner Program Terms

These terms make the 20% offer precise: payment is earned only when an approved, eligible introduction becomes a paying Hanabi client. Please read them before applying.
1. Program and acceptance
These Referral Partner Program Terms govern referrals made to Today Solve Private Limited, operating as Hanabi Technologies (“Hanabi”). Applying does not create an approved partner relationship. Hanabi must confirm approval in writing before a person or organization may register referrals under the program.
Hanabi may accept or reject any partner application or referral in its reasonable discretion, including for fit, conflicts, prior contact, compliance, capacity, or project viability.
2. Eligible referrals
An eligible referral is a business prospect introduced by an approved partner, accepted by Hanabi in writing, and expected in good faith to purchase at least USD 5,000 in Hanabi professional services.
The prospect must be new to Hanabi: it must not already be a client, active opportunity, existing inbound lead, or documented sales conversation during the preceding 12 months. If more than one person refers the same prospect, attribution belongs to the first eligible referral Hanabi accepted in writing.
A referral remains attributed for six months from Hanabi’s written acceptance unless Hanabi agrees otherwise in writing.
3. Referral fee
For an eligible referral that signs a services agreement and makes its first cleared payment, Hanabi will pay the approved partner a one-time referral fee equal to 20% of the service fees included in that first payment.
The referral fee is not 20% of the total contract value or later payments. Taxes, duties, refunds, credits, chargebacks, payment-processing fees, hardware, software licences, cloud or advertising spend, travel, subcontracted pass-through costs, and other reimbursable expenses are excluded from the calculation.
Hanabi will initiate payment within seven business days after the client payment has cleared and the partner has supplied accurate invoice, tax, identity, and payout information reasonably required by Hanabi. The partner is responsible for its own taxes and bank or currency-conversion charges.
If the first client payment is later refunded, reversed, charged back, or found to be fraudulent, the related referral fee becomes repayable to Hanabi or may be offset against future amounts.
4. Honest and lawful introductions
Partners must have a lawful basis to share business contact information, must disclose that they may receive a referral fee, and must not misrepresent their relationship with Hanabi.
Partners may not use spam, scraped or purchased contact lists, deceptive claims, impersonation, harassment, unlawful incentives, undisclosed conflicts, or bidding on Hanabi trademarks in advertising without prior written permission.
A partner may not make pricing, delivery, security, performance, warranty, or contractual commitments on Hanabi’s behalf. Hanabi alone scopes, prices, accepts, and contracts for work.
5. Independent relationship
Partners act as independent referrers. Nothing in these terms creates employment, agency, partnership, franchise, exclusivity, fiduciary duty, or authority to bind Hanabi.
Each party bears its own costs. No fee is owed for an application, contact record, meeting, proposal, or lead that does not satisfy every eligibility and payment condition in these terms.
6. Confidentiality and data
A partner must protect non-public information received from Hanabi or a prospect and use it only for the permitted referral. Personal and business data must be handled lawfully and securely.
Information submitted through the partner application and referral process is also handled under Hanabi’s Privacy Policy.
7. Termination and changes
Either party may end participation at any time. Hanabi may immediately suspend or terminate a partner for misleading conduct, non-compliance, conflicts, reputational risk, misuse of data, or harm to a prospect.
Termination does not remove a referral fee already earned under these terms. Hanabi may update the program prospectively by publishing revised terms and assigning a new effective date; accepted referrals remain governed by the version recorded when they were accepted unless the parties agree otherwise.
8. Law and contact
These terms are governed by the laws of India. Courts with jurisdiction over the registered office of Today Solve Private Limited will have exclusive jurisdiction, subject to any mandatory law that applies.
